1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and VMS Guru ("we", "our", or "us") governing your access to and use of the VMS Guru platform, website, and related services (collectively, the "Services").

By registering for an account, accessing, or using the Services in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2 Eligibility

To use VMS Guru, you must:

• Be at least 18 years of age
• Have the legal authority to enter into a binding contract on behalf of yourself or the business entity you represent
• Not be barred from using the Services under any applicable law
• Provide accurate, current, and complete information during registration and keep it up to date

VMS Guru is intended for businesses — primarily e-commerce sellers, warehouses, and logistics operators. Use of the platform for purely personal, non-commercial purposes is not permitted.

3 Your Account

When you register, you create an account that is personal to you or your organisation. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account, whether or not authorised by you
• Notifying us immediately at vmsguruinquiry@gmail.com if you suspect any unauthorised access or security breach

We reserve the right to disable accounts that appear compromised, inactive for an extended period, or associated with policy violations. You may not transfer your account to another individual or entity without our prior written consent.

4 The Services

VMS Guru provides a cloud-based video management and dispatch-proof platform that enables e-commerce businesses to:

• Record, upload, and store video proof of order dispatch and packaging
• Manage shipment records, AWB numbers, and order data across marketplaces
• Generate evidence for dispute resolution against fraudulent return claims
• Import and export shipment and order data
• Access analytics and reporting on dispatch operations

We reserve the right to modify, suspend, or discontinue any feature of the Services at any time. We will endeavour to provide reasonable notice of material changes that affect your existing workflow.

5 Acceptable Use

You agree to use the Services only for lawful purposes. You must not:

• Upload, store, or transmit any content that is illegal, defamatory, fraudulent, or infringes any third-party rights
• Attempt to gain unauthorised access to any part of the platform, other user accounts, or our underlying infrastructure
• Use the Services to fabricate, tamper with, or misrepresent dispatch records or video evidence
• Reverse-engineer, decompile, or attempt to extract the source code of any part of the platform
• Use automated scripts, bots, or scrapers to access the platform in a manner that imposes an unreasonable load on our systems
• Resell, sublicense, or otherwise commercialise access to the Services without our explicit written consent
• Violate any applicable local, national, or international law or regulation

We may monitor usage to enforce these rules and take action — including immediate account suspension — against violations.

6 Subscriptions & Billing

Access to VMS Guru's full feature set requires a paid subscription. By subscribing, you agree to the following:

• Subscription fees are charged in advance on a monthly or annual basis depending on the plan you select
• Fees are exclusive of applicable taxes (including GST), which will be added at checkout where required
• You authorise us (or our payment processor) to charge your chosen payment method on each renewal date
• If a payment fails, we will notify you and may suspend access to the Services until payment is resolved
• Plan pricing may change; we will give at least 14 days' notice before any price increase takes effect on your subscription

7 Refunds & Cancellation

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain full access until then.

Refunds: Subscription fees are generally non-refundable. However, we will consider refund requests in the following circumstances:

• A technical fault caused by VMS Guru that rendered the service materially unusable for a significant portion of your billing period
• A duplicate or erroneous charge confirmed by our billing records

To raise a refund request, email vmsguruinquiry@gmail.com within 7 days of the charge in question. We will review and respond within 5 business days.

8 Your Content

"Your Content" means all data, video recordings, shipment records, and other materials you upload to or generate within the Services.

• You retain full ownership of Your Content at all times
• By uploading content, you grant VMS Guru a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely as necessary to provide the Services to you
• You are solely responsible for ensuring Your Content does not violate any law or third-party rights
• We do not claim any ownership over Your Content and will not use it for any purpose beyond operating the platform on your behalf

Upon account termination or deletion, Your Content will be permanently deleted in accordance with our Privacy Policy.

9 Intellectual Property

All intellectual property in the VMS Guru platform — including but not limited to the software, design, logos, trademarks, and documentation — is owned by or licensed to us. Nothing in these Terms grants you any rights in our intellectual property beyond what is strictly necessary to use the Services.

You must not reproduce, distribute, modify, or create derivative works from any part of our platform without our prior written consent.

10 Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Any guarantee that the Services will be uninterrupted, error-free, or free of harmful components
• Any guarantee that video recordings or dispatch data will be accepted as legally valid evidence in any court, marketplace, or dispute resolution process

While VMS Guru is designed to assist in dispute resolution, the outcome of any marketplace dispute, courier claim, or legal proceeding is outside our control and remains your responsibility.

11 Limitation of Liability

To the maximum extent permitted by applicable law, VMS Guru and its directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from your inability to access or use the Services
• Any dispute outcome with a marketplace, courier, or customer regardless of evidence provided through our platform

Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total subscription fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

12 Indemnification

You agree to indemnify, defend, and hold harmless VMS Guru and its affiliates, officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Services in violation of these Terms
• Your Content infringing any law or third-party rights
• Any misrepresentation made by you to us or a third party in connection with the Services

13 Termination

Either party may terminate these Terms at any time:

• By you: Cancel your subscription and close your account from account settings
• By us: We may suspend or terminate your account immediately — without prior notice — if you materially breach these Terms, engage in fraudulent activity, or if required by law

Upon termination, your right to access the Services ceases immediately. Sections 8 (Your Content), 9 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law) survive termination.

14 Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Surat, Gujarat, India.

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct communication for a period of 30 days.

15 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or a prominent notice within the platform at least 7 days before the changes take effect.

Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services before the effective date.
